Mergers and acquisitions
Buying and selling companies or holdings, legal due diligence and transaction documents.
The office works from the letter of intent to closing: legal due diligence, share purchase agreements, shareholder agreements and regulatory approvals. In financial sector deals it also handles the qualifying holding procedure before the ATVP.
Legal due diligence
Before an acquisition the office reviews the company: articles, ownership, contracts, employment, disputes and regulatory licences. The findings feed into the price and into the protections and warranties in the agreement.
Regulatory approvals
Acquiring a qualifying holding in an investment firm, management company or other supervised entity requires prior ATVP approval. The deal therefore has to be planned so that it closes only after approval is granted.
Typical matters
- legal due diligence
- share and quota purchase agreements
- shareholder agreements
- regulatory approvals for the transaction
