The office advises companies, management boards and supervisory boards on formation, capital increases, restructuring and general meetings under the Slovenian Companies Act (ZGD-1). A particular focus is corporate governance: rules for company bodies, liability of board members and governance code recommendations.
Corporate governance
The office drafts rules of procedure for management and supervisory boards, advises on convening and running general meetings and on the liability of board members, in line with ZGD-1 and governance codes.
Restructuring
Mergers, divisions, conversions and capital increases require resolutions of company bodies, notarial deeds and entry in the court register. The office prepares the documents and timeline and works with the notary.
