Setting up and running UCITS and alternative investment funds (AIFs) and their management companies.
The office advises on the choice of fund structure, fund rules, the prospectus and the key information document, and on ATVP authorisations. For existing funds it helps with rule changes, the depositary relationship and compliance with ZISDU-3 and ZUAIS.
UCITS or alternative fund
UCITS funds are open to retail investors and follow stricter investment and diversification rules. Alternative investment funds (AIFs) allow more investment flexibility and are usually aimed at professional investors. The choice affects the authorisations needed, costs and how the fund can be marketed.
Marketing in other EU countries
A fund managed by a manager authorised in Slovenia can be marketed in other EU countries through a notification procedure. The office prepares the notification and aligns the documents with the requirements of the host country.
